Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the EdgeLogic platform (“Platform”, “Service”), operated by SpatialEdge (Pty) Ltd (“SpatialEdge”, “we”, “us”, “our”), a company registered in the Republic of South Africa.

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our Cookie Policy. If you do not agree, you must not use the Platform.

1. Early Access

The hosted platform (edgelogic.ai) is currently an early-access service. During this period:

  • Features may change, be added, or removed without prior notice.
  • The Service may experience downtime or interruptions.
  • There is no service-level agreement (SLA).
  • We may reset data, modify the database schema, or make breaking changes as part of ongoing development.
  • Access is by invitation only and may be revoked at any time.

Note: These Terms apply to the hosted platform only. Dedicated enterprise deployments are governed by separate agreements with their own service levels and terms.

2. Eligibility

To use the Platform you must:

  • Be at least 18 years of age.
  • Have the legal authority to accept these Terms on behalf of yourself or the organisation you represent.
  • Provide accurate and complete registration information.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at privacy@edgelogic.ai if you suspect unauthorised access.

4. Acceptable Use

Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms.

5. Credits, Billing & Usage

The Platform operates on a credit-based usage system.

  • Each user receives a monthly credit allowance that resets at the beginning of each calendar month. Unused credits do not roll over.
  • When your credits are exhausted, AI-powered features will be temporarily unavailable until your allowance resets or additional credits are applied.
  • We reserve the right to change credit pricing, allowance amounts, and the credit system at any time with reasonable notice.
  • During the early-access period, credits are provided at no cost. This does not create an obligation to continue providing free credits.
  • Any paid credits are non-refundable, except where required by applicable consumer protection law.

6. Intellectual Property

6.1 Platform Ownership

The Platform, including its software, design, algorithms, documentation, and branding, is owned by SpatialEdge (Pty) Ltd and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform except the limited right to use it in accordance with these Terms.

6.2 Your Data

You retain all rights to the data, decisions, policies, and content you create or upload to the Platform (“Your Data”). By using the Platform, you grant us a limited licence to process Your Data solely for the purpose of providing and improving the Service, including sending it to third-party AI providers as described in our Privacy Policy.

7. AI-Generated Content — Disclaimer

The Platform uses artificial intelligence to assist with decision-making. You acknowledge and agree that:

  • AI outputs are advisory only. They do not constitute professional, legal, medical, financial, or any other form of regulated advice.
  • AI can make mistakes. Outputs may be inaccurate, incomplete, or inappropriate for your specific circumstances.
  • You are solely responsible for any decisions you make based on AI-generated recommendations. You must always apply your own professional judgement and conduct independent verification where appropriate.
  • AI outputs are generated by third-party AI models (including models from Anthropic, OpenAI, and Google). We do not control these models and make no guarantees about the accuracy or suitability of their outputs.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied.
  • SpatialEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Platform.
  • SpatialEdge shall not be liable for any decisions made, actions taken, or outcomes resulting from reliance on AI-generated content or recommendations provided by the Platform.
  • SpatialEdge shall not be liable for any outages, errors, or data incidents caused by third-party service providers (including Clerk, Vercel, Google Cloud Platform, Anthropic, OpenAI, or Google AI services).
  • Our total aggregate liability for any claims arising from or relating to these Terms or the Platform shall not exceed the amount you paid us in the three (3) months preceding the claim, or ZAR 1,000 (whichever is greater).

9. Indemnification

You agree to indemnify, defend, and hold harmless SpatialEdge, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform or violation of these Terms.
  • Your violation of the Acceptable Use Policy.
  • Content you create, upload, or transmit through the Platform.
  • Decisions you make or actions you take based on AI-generated recommendations.
  • Your violation of any applicable law or third-party rights.

10. Data Processing

We process your personal data and content in accordance with our Privacy Policy. By using the Platform, you consent to:

  • The collection, storage, and processing of your data as described in the Privacy Policy.
  • The transmission of your content to third-party AI providers for the purpose of generating AI-assisted recommendations.
  • The international transfer of your data to jurisdictions where our service providers operate, subject to appropriate safeguards.

11. Force Majeure

SpatialEdge shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, government actions, sanctions, power or internet outages, failures of third-party AI providers or cloud infrastructure, cyberattacks, or labour disputes.

12. Termination

  • You may stop using the Platform at any time by contacting us at privacy@edgelogic.ai.
  • We may suspend or terminate your access at any time, with or without cause, particularly during the early-access period.
  • Upon termination, you may request export or deletion of Your Data in accordance with our Privacy Policy.
  • Sections 6 (Intellectual Property), 7 (AI Disclaimer), 8 (Limitation of Liability), 9 (Indemnification), and 13 (Governing Law) survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, including the Protection of Personal Information Act, 2013 (POPIA).

If you are located in the European Economic Area (EEA), the United Kingdom, or Switzerland, you additionally benefit from the protections of the General Data Protection Regulation (GDPR) as it applies to the processing of your personal data, as described in our Privacy Policy.

In the event of a dispute arising from or in connection with these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be submitted to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA). If mediation is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa, unless mandatory consumer protection laws in your jurisdiction require otherwise.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Platform and may require you to re-accept the updated Terms before continuing to use the Service.

Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

15. General

  • Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and SpatialEdge regarding the Platform.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
